“Collegio dei Probiviri” (Internal Appeal Board)

“Gestore dei mercati energetici S.p.A.” (hereafter “GME”) is the company which is referred to in article 5 of Legislative Decree no. 79 of 16 March 1999 and which organises and manages the electricity market, as per the Integrated Text of the Electricity Market Rules (hereafter “Electricity Market Rules”). The Electricity Market Rules were approved by a Decree of the Minister of Economic Development of 19 December 2003, as subsequently amended and supplemented.

With a view to settling disputes which may arise between GME and operators in connection with the interpretation and application of the Electricity Market Rules, a “Collegio dei Probiviri” (Internal Appeal Board) will be set up. The Internal Appeal Board, to be appointed by a resolution of GME’s Board of Directors, will have a term of office of three years. It will be composed of three permanent members, one of whom will act as Chairperson, and of one supplementary member. The members of the Internal Appeal Board will be chosen among persons with high standards of ethics, integrity, professional and technical expertise.
 
The members of the Internal Audit Board will span the various technical and professional skills which are needed to comprehensively manage the issues connected with the interpretation and application of the Electricity Market Rules and to adequately fulfil the different tasks within the same Board.
 
For the Chairperson, preference will be given to candidates who have previously participated in similar control bodies and who are university professors of legal-economic disciplines.
 
The other members of the Board are expected to have knowledge of the electricity market, in its procedural and technical (operation of the grid and related issues) aspects.
 
For disputes over the verification of the financial guarantees, the Internal Appeal Board will be integrated with one technical member having proven experience in the banking and financial sectors or being a full professor of legal or economic disciplines applied to the same sectors. The latter member will hold office for one year and may be reappointed only once.
